- All purchase orders must be confirmed by the Vendor in writing.
- We reserve the right to cancel any order prior to shipment.

4.2. Pricing and Payment Terms
- Prices are fixed as agreed upon in the purchase order.
- Payment terms are 40 days from the date of invoice.

4.3. Delivery and Inspection
- Time is of the essence in the delivery of goods.
- We reserve the right to inspect and reject defective goods.

4.4. Indemnification by Vendor
- The Vendor agrees to indemnify and hold harmless Aspired Companies, LLC  from any claims related to defects, damages, or liabilities arising from the supplied products.

5. Non-Compete and Non-Solicitation Clauses

5.1. Non-Compete Clause
- All Vendors agree not to knowingly engage in any business that directly competes with Aspired Companies, LLC  for a period of 12 months from the date of termination of the business relationship.

5.2. Non-Solicitation Clause
- The Vendor agrees not to solicit any of Aspired Companies, LLC 's employees, customers, or business contacts for a period of 12 months from the date of termination of the business relationship.

6. Governing Law and Jurisdiction
- These Terms and Conditions shall be governed by and construed in accordance with the laws of Colorado.
- Any disputes arising out of these terms shall be resolved in the courts of Arapahoe County, Colorado.

7. Amendments and Updates
- We reserve the right to amend these Terms and Conditions at any time without prior notice.

8. Supersession Clause
- These Terms and Conditions supersede all previous agreements, representations, or understandings, whether written or oral.
